Platform Subscription Terms of Service
1. Introduction and Scope
These Platform Subscription Terms (“Terms”) constitute a legally binding agreement between Antlysis Design Sdn. Bhd. (“Company”, “Platform Provider”, “We”, “Us”, or “Our”) and the commercial operator, business entity, franchisee, or authorized dealer (“Subscriber”, “You”, or “Operator”) accessing and subscribing to the Laundro self-service laundry management software, firmware, and cloud IoT platform (the “Service”).
By executing an Order Form, registering an account, connecting hardware devices to the Service, or paying an invoice, you confirm that you have the legal authority to bind your entity to these Terms.
2. Definitions
- “Active Device” means any laundry machine (washer, dryer, kiosk, or auxiliary equipment) connected to or managed by the Service via Laundro IoT hardware or firmware controllers.
- “Manifest Error” means any configuration, firmware, or software bug that results in unexpected machine activation, incorrect cycle pricing, or distorted telemetry.
- “Order Form” means any quotation, invoice, service agreement, or digital checkout through which the Subscriber selects a subscription tier, number of connected units, and billing cadence.
- “Subscription Fees” means the recurring monthly or annual platform fees due for access to the cloud portal, API services, mobile applications, and device management capabilities.
3. Subscription Plans, Billing & Payment
3.1. Subscription Term & Auto-Renewal
The Service is provided on a recurring subscription basis (e.g., monthly or annually). Subscriptions will automatically renew for successive terms equal to the initial term unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the current billing cycle.
3.2. Fee Structure & Adjustments
Subscription Fees are determined by the selected plan, number of Active Devices, and registered outlets. The Company reserves the right to adjust recurring pricing upon thirty (30) days’ written notice prior to your next renewal cycle. Adding Active Devices mid-cycle will be billed on a pro-rata basis for the remainder of the billing period.
3.3. Taxes & Invoicing
All fees are exclusive of applicable taxes (including Malaysian Sales and Service Tax (SST), withholding taxes, or local cross-border transaction levies), which will be invoiced to and borne by the Subscriber. Invoices are due upon receipt or within the credit terms explicitly agreed upon in writing.
3.4. Late Payments & Suspension
If Subscription Fees remain unpaid seven (7) days past the due date, the Company reserves the right to suspend Subscriber dashboard access, API availability, and IoT telemetry communication. The Company is not liable for any operational losses or interrupted retail business resulting from a non-payment suspension.
4. License & Platform Restrictions
License Grant: The Company grants the Subscriber a non-exclusive, non-transferable, revocable license during the active subscription term to access the Laundro Web Portal, Mobile Apps, and Device Cloud solely for managing authorized laundry operations.
Restrictions: The Subscriber shall not:
- Reverse engineer, decompile, or extract source code or proprietary firmware from the Laundro IoT controllers or software platform;
- Resell, white-label, or sublicense dashboard access to third parties without prior written consent from Antlysis Design Sdn. Bhd.;
- Intentionally bypass device authorization mechanisms or simulate telemetry data.
5. IoT Telemetry, Connectivity & Hardware Boundaries
5.1. Dependent Infrastructure
The Laundro platform relies on third-party public cloud providers, cellular networks (4G/5G/NB-IoT), Wi-Fi, and local electrical power. The Company does not warrant uninterrupted availability and is not liable for machine connection failures caused by local ISP downtime, cellular blackspots, or power fluctuations at the laundry outlet.
5.2. Offline Fail-Safe Operation
Subscriber acknowledges that Laundro IoT hardware may support offline or fail-safe logic during network blackouts. The Subscriber remains responsible for auditing offline operations and configuring sensible local machine fallbacks.
6. Operator Responsibilities & End-Consumer Disclaimers
6.1. Pricing and Mapping Accuracy
The Subscriber holds sole responsibility for reviewing and verifying all machine mappings, cycle timings, pricing parameters, and digital payment gateway configurations. Antlysis Design Sdn. Bhd. is not liable for incorrect pricing set by the operator or configured on the operator’s behalf by support personnel upon the operator’s instruction.
6.2. Pricing Bugs & Manifest Errors
In the event of a software glitch or Manifest Error that triggers a machine at an incorrect rate, the Company’s liability is strictly limited to deploying a software or firmware hotfix. The Company bears NO LIABILITY for lost retail margin, unpaid cycle revenues, or consumed utilities (water, gas, electricity).
6.3. Consumer Relationships & Refunds
The Subscriber is the merchant of record for the laundry services provided to end-consumers. All claims concerning ruined garments, disputed payments, broken machines, or consumer cash refunds are the sole responsibility of the Subscriber.
7. Platform Availability & Support
The Company applies commercially reasonable efforts to maintain high availability of cloud endpoints. Maintenance windows will be scheduled during off-peak hours whenever feasible. Emergency patches, security updates, and critical infrastructure maintenance may occur without advance notice.
8. Limitation of Liability
Waiver of Consequential Damages: To the maximum extent permitted by applicable law, in no event shall Antlysis Design Sdn. Bhd., its directors, employees, or partners be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, retail sales revenue, data loss, business interruption, or machine physical wear, whether under contract, tort (including negligence), or otherwise.
Liability Cap: The total aggregate liability of the Company arising out of or related to this subscription agreement shall not exceed the total subscription fees actually paid by the Subscriber to the Company in the three (3) months immediately preceding the event giving rise to the claim.
9. Termination & Data Portability
Termination for Cause: Either party may terminate this agreement immediately if the other party breaches a material term and fails to cure such breach within fourteen (14) days of receiving written notice.
Effect of Termination: Upon termination or non-renewal of the subscription:
- Subscriber’s access to the Laundro management platform, remote reboot tools, and analytics dashboards will cease;
- Connected IoT hardware controllers will discontinue cloud communications;
- The Subscriber may request an export of raw sales and transaction history within thirty (30) days of termination; thereafter, the Company may delete or anonymize operational data.
10. Aggregated Telemetry & Analytics
The Company retains the right to collect and analyze anonymized operational data (machine runtimes, telemetry metrics, cycle frequency, and error codes) across the network to optimize firmware performance, deliver predictive maintenance features, and generate industry benchmarks.
11. Governing Law & Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Malaysia, without reference to its conflict of law principles.
Jurisdiction: The parties irrevocably submit to the exclusive jurisdiction of the courts of Malaysia to resolve any dispute, controversy, or claim arising out of or in connection with these Terms.
